| | "There is a long way
to go in the process of leveraging the power of
computing, in the improvement of the
quality of care. As new technologies
become available, doctors realize that their
practices and systems need to change, but they
                also feel overwhelmed about
                where to start." AMA Study

 Physicians, clinics and billing services
                        need easy-to-use, intuitive graphical and
                        windows based networked applications to
access, process and analyze patient data.
Medasis Corporation provides a state of
the art, robust information solution that
                        allows healthcare organizations manage a
                        truly complex process.

The simplicity of our Windows-based user
interface and the relatively low cost of
                        ownership hide the technical complexity
at the heart of Medasis Corporations
                        sophisticated practice management
                        solution.

 Medasis Corporation is developing
                        advanced computing technologies to create
                        its practice management solutions. These
technologies and the methods used to
deploy them are an important competitive
                        advantage.

 The technology and processes were
selected to minimize the investment in
hardware in the physician's office while
                        reducing support problems. The component
                        application architecture developed at
                        Medasis Corporation provides the
                        foundation on which the information
                        systems are developed. This architecture
                        leverages the Company's extensive object
                        oriented development experience to create
a scaleable, state of the art solution.
                        In a rapidly changing technological
                        environment, the object oriented
                        architecture isolates system components,
enabling the company to quickly adjust to
                        changing business complexities and local
                        variations and requirements. This
approach also scales to match business
volume, and provides a framework for
                        enhancing and adding new functionality.

The system architecture is modularized to
                        simplify complexity and provide methods
to embrace new technologies. It is based
                        on object-oriented principles to speed
development to allow the company to
respond with ever changing rules and
                        requirements.

 The foundation for the Medasis
                        Corporations practice management
software is a Thin-Client philosophy in
                        which windows-based workstations are
                        served data using a high-performance
unix/AIX or NT based SQL server. The
                        workstation employs a "thin
client" based on Windows 95 or 98
                        and developed in ultra-high performance
C++. Server-based software is built upon
                        a unix/AIX/NT framework, using a mixture
of C++ and SQL, an approach that allows
for flexibility in the choice of a
                        hardware platform. Medasis was created
from the ground up to run either on
selected versions of Unix or on servers
which use the Microsoft NT operating
                        system. Database platforms include Oracle
                        Corporation, Informix, Borland/Inprise,
                        Microsoft and others.

 Network
                        Architecture

 The development of medical applications
has been stagnant for many years. The
                        traditional text based user interfaces
have been the de-facto standard with
little innovation other than changes to
                        respond to ever increasing billing
                        requirements. The movement from terminal
based solutions to a PC-based client and
a Unix or Intel-based server has been
slow to develop. This is mainly due to
the quality of the existing Windows based
solutions and the reluctance of the
                        traditional companies to innovate.

 While Windows based medical practice
                        management software has been available
for a few years, they have not fared well
when compared to the traditional text
                        based applications. Medasis Corporations
                        software offers network-based,
                        client-server architecture with the
features of the traditional text based
                        software applications in a Windows
environment. The power and flexibility of
a graphical user interface, blended with
centralized control of the business data
provides an organization with the most
                        cost-effective and state-of-the-art
                        solution available.

 Thin-Client architecture promotes
simplicity on the client system by moving
data intensive functions onto a server,
rather than doing the processing on the
                        workstations. The client provides access
to the data on a server which may reside
anywhere in the network. Separating the
user interface portion from the function
of processing that information allows for
solutions that scale better. This means
that if a server becomes the bottleneck
                        in an application, more computing
resource can be added without any impact
on the end-user environment other than
                        improved performance.

A tremendous advantage of the Thin-Client
                        architecture is reduced workstation
                        processing capability thus allowing the
                        use of inexpensive workstations. The
reduced requirements will also extend the
                        useful lifetime of existing equipment.
Users can take advantage of any PC that
runs Windows 95/98 if it provides enough
processing power to run the application.
For customers that have already installed
an Ethernet network, installation is very
                        simple.

 The primary advantage of text-based
traditional solutions is that the systems
infrastructure is centralized in a data
server, which makes issues like backup
                        and recovery, performance tuning, virus
                        avoidance

Security, and other issues much easier to
                        manage. Medasis Corporation has
embraced this philosophy and yet is able
                        to provide a graphical client/server
 environment.

While cost savings can be tremendous as
                        well as the administrative
                        simplification, perhaps the greatest
                        advantage our architecture provides is
                        improved response to changing
                        requirements. Application modifications
can be made quickly and distributed even
more quickly. Through a unique technology
                        developed by Medasis Corporation changes
are introduced on the server, and each
                        client is automatically updated. This
allows Medasis Corporation to be very
nimble and react quickly to changing
market conditions and end user needs.

 Summary

 The Thin-Client approach providing
                        powerful, network-based applications is
emerging as the architecture of the
                        future. Current text based billing
                        applications have serious limitations
that have been uncovered by application
                        software developed by Medasis
                        Corporation. Clearly, the continued
                        development of the text-based
                        applications cannot continue for any
period of time. The improved response to
                        changing requirements, administrative and
                        management simplification, reuse of
                        existing resources, improved scalability
and minimized up-front costs all suggest
that our technology is the optimal
                        architecture. The sophisticated
                        "Thin Client" technology
developed by Medasis is a key competitive
                        advantage allowing Medasis to offer
                        innovative solutions to complex practice
                        management problems.
